The Sint Maarten Telecommunications Holding Company N.V. (hereinafter referred to as “SMTHC’, the “Company” or the “Holding Company”) was incorporated in November 2006 to consolidate (assets and shares) the working companies, TelEm, TelCell N.V. and SMITCOMS N.V. The Holding Company also holds the shares of the newly incorporated Sint Maarten Telecommunication Operating Company N.V. (hereinafter referred to as the “Operating Company”) The purpose of the Operating Company N.V. is to manage the operations of the working companies, TelEm, TelCell N.V. and SMITCOMS N.V.
Under the new structure, TelNet Communications N.V. merged into Sint Maarten Telephone Company (TelEm) N.V. as of August 2008. The companies TelEm N.V., TelCell N.V. and SMITCOMS N.V. have no employees, since all employees are employed by Sint Maarten Telecommunication Operating Company N.V. since July 2012. Caribbean Teleview Services N.V. (St. Maarten Cable TV) became a Subsidiary of TelEm after the company was purchased. The Holding Company is managed by a Chief Executive Officer (CEO) supported by an executive of Chief Financial Officer (CFO), a Chief Commercial Officer (CCO) and a Chief Technical Officer (CTO). The CCO, CFO and the CTO resort under the Operating Company. The SMTHC’s shareholder is the Government of Sint Maarten through a government-appointed Shareholder Representative. The Holding Company is accountable to its shareholder, the Government of Sint Maarten and to its Supervisory Board of Directors.
